Terms of sale
These terms apply to business customers only.
1. Scope
These terms govern all quotes, orders and deliveries of Vimex-M Trade House Bulgaria OOD ("Vimex-M", "we"), EIK 205205858, to business customers ("you"). Your own purchasing terms apply only if we confirm them in writing.
2. Quotes
Quotes are valid for 30 days. We may cancel a quote within that time if an extraordinary regional or global event, such as an oil or shipping crisis, directly raises the cost of plastics or transport.
3. Prices
Prices are in EUR, excluding VAT, per piece, for the Incoterm and delivery place named in the quote.
4. Minimum order
20,000 pieces per configuration: one model, one option set, one colour build. We do not accept smaller or trial orders.
5. Order and payment
The order is placed with a 30 % deposit. Once the deposit is paid, we plan the production and start manufacturing the parts, so from then on the order cannot be changed or cancelled. The 70 % balance is due when the goods are in Bulgaria, before delivery, by bank transfer. Goods remain our property until paid in full; late payment carries statutory interest under Bulgarian law.
6. Colours and samples
Standard colours are produced from the factory's masterbatches without an approval sample. Pantone-matched colours are produced after you approve a sample part or colour plaque; the approved sample, not the printed chip, is the reference for production. Small colour differences between production runs and between parts of different wall thickness are normal and not a defect. Samples are supplied at cost unless agreed otherwise.
7. Delivery
Lead time is 3 to 4 months by sea from the deposit; delays caused by carriers, ports, customs or force majeure extend it. Delivery terms (Incoterms 2020) are named in the quote. Partial deliveries are possible only if agreed in advance, and they are priced separately. Under a stock agreement, quantities, call-off cycle and payment schedule are set in the agreement.
8. Tolerances
Delivered quantities may deviate by up to ± 3 % from the ordered quantity. Dip tube length ± 2 mm. Output per stroke is measured with water and stated as a range.
9. Inspection and complaints
We inspect production and loading. Report defects and quantity deviations in writing within 10 working days of delivery, with photos, item code and carton numbers. Later claims are not accepted.
10. Remedy and liability
For a justified complaint we choose between replacement in a later shipment and a credit note. Whether the closure suits your product and bottle is your responsibility. Our liability is limited to the invoice value of the affected delivery, except for intent or gross negligence.
11. Compliance documents
On request: supplier declarations under Regulation (EU) 2025/40 per item code, in English, based on the producing factory's declarations and resin documents.
12. Designs
Custom designs, printed parts or exclusivity arrangements are agreed separately in writing. You warrant that artwork or designs you supply do not infringe third-party rights.
13. Law and courts
Bulgarian law applies; the UN Convention on Contracts for the International Sale of Goods (CISG) does not. The courts of Varna have jurisdiction.
